Hena Rupal is an associate in the London office of Latham & Watkins and a member of the firm’s global Investment Funds Group. 

Hena’s practice includes advising on: 

  • Fund formation and structuring processes 
  • Secondary transactions, including GP-led transactions and fund restructurings
  • Primary investments and co-investments  
  • Fund governance and related matters
  • International funds under AIFMD regulations
  • Due diligence processes on asset management M&A acquisitions and GP stakes deals 

Prior to qualification, Hena trained in the firm’s London office, where she gained experience in the Corporate, Investment Funds, Litigation & Trial, and Banking & Private Credit groups. 

Hena’s experience includes advising: 

  • A venture capital fund on its fund-of-funds investment in a deep tech and security fund 
  • The asset management arm of a German multinational financial services company on the restructuring of its portfolio of private equity fund interests and various buy- and sell-side secondary transactions
  • A global alternative investment manager on its strategic acquisition of a London-based systematic fixed income manager
  • The venture capital arm of a Swiss food and beverage company on its investment in a health and pharmaceuticals fund 
  • An Australian investment manager on the first closing of its global infrastructure debt fund
  • The real estate division of a global private markets firm on the closing of its co-investment vehicle for real estate investments
