Gaby Alvarez is an associate in the Houston office of Latham & Watkins and a member of the firm’s Tax Department.
Gaby advises clients on a broad range of executive compensation and employee benefits matters, with particular focus on:
- Design, disclosure, and implementation of compensation arrangements, including employment agreements, consulting and severance arrangements, change in control plans and retention programs, employee stock purchase plans, and cash and equity incentive arrangements
- Compensation and benefits areas of mergers, acquisitions, financings, and other corporate transactions
- Preparing executive compensation disclosures for proxy statements and other securities filings, and advising companies on proxy advisory and institutional stockholder voting guidelines
- Counseling on tax, securities, ERISA, and corporate law issues as they relate to executive compensation and employee benefits arrangements
Gaby draws on wide-ranging experience with the design, administration, and compliance aspects of retirement and health and welfare plans. She also has experience guiding clients through IRS and DOL investigations, filings, and corrections.
Gaby serves on the Board of Directors of the Hispanic Bar Association of Houston (HisBA), and as the HisBA Ambassador in the Ambassador Program of the Houston Bar Association. She previously served on the Diversity, Equity, & Inclusion Committee of the Houston Young Lawyers Association and is an alumna of the Leadership Counsel on Legal Diversity Program and the State Bar of Texas Tax Section Leadership Academy.
Prior to joining Latham, Gaby was a part of the Employee Benefits & Executive Compensation Team of another international law firm.
