Fei Chen is an associate in the London office of Latham & Watkins and a member of the Capital Markets Practice.

Mr. Chen has experience representing both issuers and underwriters in debt and equity financings, including SEC-registered offerings, private placements, cross-border transactions, leveraged buyouts, acquisition financings, and liability management transactions across a broad range of industries.

Prior to attending Columbia Law School, Mr. Chen was a capital markets associate in the Beijing office of a leading US law firm, where he focused on corporate and securities transactions. He previously practiced in the firm’s New York office before relocating to London.

Mr. Chen's experience includes representing:

  • The initial purchasers, led by HSBC and NatWest Markets, on the £250 million senior notes offering of Kier Group plc, a leading provider of infrastructure services, construction and property development in the UK
  • EG Group, one of the world’s leading independent operators of gas stations and convenience retail chains, on its US$500 million senior secured PIK notes offering as part of a complex series of related financing transactions in connection with the refinancing of its existing facility and senior secured bonds
  • Kedrion S.p.A., a leading global biopharmaceutical company specializing in the collection of human plasma and the development, production, and distribution of plasma-derived therapeutic products, on its US$790 million senior secured notes offering
  • The initial purchasers, led by Morgan Stanley, Barclays, Deutsche Bank, and Goldman Sachs, on the €600 million senior secured notes offering of Energia Group, a leading Irish energy provider focusing on renewable technology
  • atai Life Sciences, a clinical-stage biopharmaceutical company aiming to transform the treatment of mental health disorders, on the establishment of a US$150 million at-the-market (ATM) common share program, with Jefferies as sales agent
  • Swissport, a leading global ground and cargo handling service provider, in a €600 million senior secured unitranche term loan and €200 million super senior revolving credit facility (with high yield covenants) in connection with the refinancing of its existing capital structure 
  • The initial purchasers, led by Goldman Sachs and BNP Paribas, on the £1.075 billion and €545 million senior secured notes offerings in connection with the public-to-private acquisition of Wm Morrison Supermarkets Limited, the fourth largest grocery retailer in the UK, by Clayton, Dubilier & Rice, a global private equity manager, for an enterprise value of £9.7 billion
  • The initial purchasers, led by BofA Securities, on the €2.1 billion-equivalent sustainability-linked senior secured notes offering of VodafoneZiggo, a leading Dutch telecommunications company
  • Credit Suisse and other lead arrangers in a term loan and revolving credit facility, concurrent with a senior bond offering, in connection with Allied Universal’s £3.8 billion acquisition of G4S plc, a UK-based multinational security services provider, as well as subsequent amendments under that facility
  • Morgan Stanley and other lead arrangers in a US$875 million term loan and revolving credit facility for Gogo Inc., the world’s largest provider of broadband connectivity services for the business aviation market,  in connection with the refinancing of its existing secured notes and asset based revolving credit facility
  • JP Morgan and Barclays in connection with a repricing amendment to the US$6.2 billion term loan credit facility provided to Clarios Global, one of the world’s largest manufacturers and distributors of low voltage, advanced automotive battery technologies
  • Phillips Edison & Company, one of the largest owners and operators of omni-channel grocery-anchored shopping centers in the US, in a US$980 million term loan and revolving credit facility in connection with the refinancing of its existing facility
  • Pretium Partners, a specialized investment management firm focused on real estate and mortgage finance, in a debt refinancing led by funds managed by affiliates of Blackstone Credit
