Eric Hanzich is a corporate associate in the Orange County office of Latham & Watkins. Mr. Hanzich advises public and private companies in the technology, life sciences, and consumer products industries. He also represents venture capital funds and investment banks in transactions with these companies.

Mr. Hanzich regularly advises companies in matters involving corporate governance, Securities Exchange Act disclosure and compliance obligations, federal and state securities laws, employment and compensation matters, and fiduciary duties.  In particular, his public company representation experience includes:

  • Advising clients in the life sciences and semiconductor industries (including Fortune 500 companies) on Securities and Exchange Commission (SEC) compliance and corporate governance matters
  • Reviewing and providing comments on a broad range of Securities Exchange Act filings, including all periodic reports on Forms 10-K, 10-Q and 8-K, Section 16 and Schedule 13 filings, and related disclosure matters

Mr. Hanzich’s transactional experience, with an emphasis on capital markets, includes:

  • Initial public offerings
  • Secondary and follow-on offerings
  • De-SPAC transactions
  • 144A debt offerings
  • Venture capital financings

Mr. Hanzich also maintains an active pro bono practice, advising clients on U-Visa matters. Prior to law school, he taught middle school students through Teach For America.
