Edward advises emerging and seasoned venture capital, private equity, and growth equity fund sponsors on forming, organizing, and operating investment funds and their related general partner and management company entities. He counsels sponsors across the fund life cycle, including:
- Preparing and negotiating offering materials
- Drafting and negotiating limited partnership agreements, LLC operating agreements, and related governing documents
- Advising on side letters, investor relations, governance, and operational matters
He also regularly negotiates with institutional investors on fund terms, economics, and investor-specific arrangements.
