David B. Kobray advises clients on a wide range of sophisticated structured finance, asset securitization, and other complex financial transactions.

David represents asset originators, borrowers, issuers, funds, banks, and other financial institutions on a variety of transactions involving asset-backed securities, bankruptcy-remote special purpose entities, warehouse, and credit facilities. He regularly works with clients to structure innovative deals across asset classes, including automobile leases, equipment and timeshare loans, trade receivables, and other consumer loans.

David’s experience includes representing:

  • A leading equipment manufacturer on numerous public ABS offerings backed by equipment loan contracts, as well as the preparation of certain SEC forms, including its Form SF-3 registration statement*
  • A timeshare company on its private ABS offerings secured by timeshare receivables*
  • Numerous borrowers on trade receivables and factoring transactions*
  • The issuer of manufactured housing-backed ABS*
  • The sponsor of a whole-business securitization of restaurant franchises*
  • The sponsor of ABS secured by oil and gas wells*
