Latham Advises on US$600 Million Private Placement and Letter of Credit Facility for the Gemini Solar + Storage Project

Members of the firm’s Project Development & Finance Practice advised the note purchasers and letter of credit facility banks on one of the largest co-located solar and battery storage projects in the US.

Primergy and Quinbrook have announced that the Gemini Solar + Storage Project has secured a landmark refinancing through a US$600 million private placement of senior secured notes together with a US$160 million letter of credit facility. Gemini is the largest co-located, single-phase project operating in the US and consists of 690 MWac of solar PV and 380 MWac of battery storage. 

Latham & Watkins LLP advised the note purchasers and letter of credit facility banks in the refinancing with a Project Development & Finance team led by San Diego partner Omar Nazif and New York partner Kelly Cataldo. Project development and finance advice was also provided by San Diego counsel Sosi Biricik, with associates Hiroko Ito, Emily Moreton, Taylor Owens,* Henry Miller, and Eliane Bach.
