Latham & Watkins Advises Fondo Italiano d’Investimento on Its Partnership With PAI Partners for Mecaer Aviation Group

Fondo Italiano d’Investimento SGR, through Fondo Italiano Consolidamento e Crescita II, and PAI Partners, through PAI Mid-Market Fund II, have signed a binding agreement to acquire 100% of the share capital of Mecaer Aviation Group S.p.A. from Fondo Italiano Consolidamento e Crescita, the predecessor fund of FICC II, managed by Fondo Italiano d’Investimento SGR, and Stellex Capital Management. The founding families, grouped under S.B.I. S.r.l., will reinvest alongside PAI, FII, LGT Capital Partners, and Mecaer’s management team, confirming their continued commitment to the group.

The Latham team was led by Stefano Sciolla and Andrea Stincardini, with Guido Hassan and Andrea Carvelli. Advice was also provided on finance matters by Erika Brini Raimondi; on regulatory matters by Cesare Milani, with Giulio Catalani; and on antitrust matters by Giuseppe Liotine and Ilaria Tucci.
