Latham Advises on Malibu Life Holdings’ Capital Raise
Latham & Watkins has advised the sole global coordinator, bookrunner, and placing agent in connection with Malibu Life Holdings Limited’s capital raise. The placing and open offer is for up to 8,621,748 new ordinary shares at a price of US$14.50 per new ordinary share, to raise gross proceeds of up to US$125 million, of which approximately US$109 million has been conditionally placed with institutional and other investors.The new shares will represent up to 50% of the Company’s existing issued share capital, which will be issued without an FCA‑approved prospectus.
This is the first transaction to be launched under the new prospectus rules, which came into effect in January 2026, under which companies may raise up to 75% of their issued share capital without an FCA‑approved prospectus.
