Latham & Watkins Advises on Constellation’s US$3.1 Billion Secondary Offering of Common Stock

Multidisciplinary team represents Energy Capital Partners as selling shareholder in the transaction.

Constellation Energy Corporation (Constellation) announced it has completed an underwritten secondary offering of common stock, pursuant to which the underwriters purchased from the selling shareholders, 11,000,000 shares of common stock. The selling shareholders have granted the underwriters a 30-day option to purchase up to 1,350,000 additional shares of common stock. Concurrently, Constellation purchased from the underwriters 2,000,000 shares of common stock that were subject to the offering at a price per share equal to the price at which the underwriters purchased the shares from the selling shareholders in the offering, for an aggregate purchase price of approximately US$558 million.
