Latham Advises Bain Capital and F.I.S. – Fabbrica Italiana Sintetici S.p.A. on a New High Yield Bond Issuance

A cross-border team represented the issuer and the sponsor in the bond offering.

Latham & Watkins has advised F.I.S. – Fabbrica Italiana Sintetici S.p.A., a leading CDMO in Europe in the development and production of active pharmaceutical ingredients for the global pharmaceutical industry and portfolio company of Bain Capital, on the issuance of €770 million senior secured notes due 2031, composed of €470 million floating rate notes and €300 million fixed rate notes, on the back of strong demand from investors.

The firm has also advised F.I.S. – Fabbrica Italiana Sintetici S.p.A. on the increase in size from €80 million to €160 million and the extension of the maturity of its existing revolving credit facility with primary lending institutions.
