Latham Advises Acclime Holdings Limited on Investment by Warburg Pincus

Cross-border team represents leading corporate and business services provider in the transaction.

Latham & Watkins has advised Acclime Holdings Limited and its shareholders on the sale of the Acclime Group of companies, a pan-Asian corporate services business headquartered in Hong Kong, to funds controlled by Warburg Pincus.  The transaction, signed on December 17, 2025, remains subject to regulatory approvals and is expected to close early in Q2 2026.  The Acclime management team will invest a significant proportion of their proceeds from the transaction alongside Warburg Pincus in the next phase of the group’s growth.

Simon Cooke, Hong Kong partner and Regional Chair of Latham’s Corporate Department in Asia, commented, “The transaction was the outcome of a competitive auction for the group, which is a testimony to the buy and build strategy which Acclime’s founders, Martin Crawford and Debby Davidson, employed in building the Acclime platform since its inception in 2019.  It is also further evidence of the attractiveness of this sector to global private equity sponsors.”
