Latham & Watkins Advises on DigitalOcean's Upsized US$625 Million Convertible Senior Notes Offering

Multidisciplinary team represents the initial purchasers in the cloud infrastructure platform’s offering.

DigitalOcean Holdings, Inc. (DigitalOcean) (NYSE: DOCN) has announced the pricing of US$550 million aggregate principal amount of 0.00% convertible senior notes due 2030 in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933. The aggregate principal amount of the offering was increased from the previously announced offering size of US$500 million. The initial purchasers of the notes exercised in full their option to purchase up to an additional US$75 million aggregate principal amount of the notes. The offering closed on August 14, 2025.
