Latham & Watkins Advises Harley-Davidson in Strategic Partnership With KKR and Pimco

Multidisciplinary team led by members of the firm’s M&A and Structured Finance Practices represents Harley-Davidson in transaction monetizing HDFS through sale of existing and future retail loans.

Harley-Davidson, Inc. (NYSE: HOG) announced that Harley-Davidson Financial Services (HDFS) has entered into a long-term strategic partnership with KKR, a leading global investment firm, and PIMCO, a global leader in active fixed income with expertise across public and private markets. This partnership transforms HDFS into a capital-light financing business through the sale of existing and future retail loans while maintaining its strategic value to Harley-Davidson, its dealers, customers and investors. The sale of more than US$5 billion of existing retail loan receivables is valued at a premium to par.

Latham & Watkins LLP represents Harley-Davidson in the transaction with a multidisciplinary deal team led by Chicago M&A partner Jason Morelli and Chicago Structured Finance partner Matt Hays. The M&A team includes Houston partner Ryan Maierson and Chicago partner Max Schleusener, with associates Alice Bradshaw and Dalton Powell, and the Structured Finance team includes Chicago counsel Joyce Shin, with associates Eunice Chay and Nicholas Nosce.
