Latham Represents Cogent Communications Holdings, Inc. in US$600 Million Senior Secured Notes Offering
Cogent Communications Holdings, Inc. (NASDAQ:CCOI) (Cogent), one of the largest internet service providers in the world, has announced that its wholly owned subsidiaries, Cogent Communications Group, LLC and Cogent Finance, Inc. (the Issuers), completed an offering of US$600.0 million aggregate principal amount of 6.500% senior secured notes due 2032 (the Notes). The Notes were offered and sold in a private offering pursuant to one or more available exemptions from the registration requirements of the US Securities Act of 1933, as amended. The net proceeds of the offering were used in part to refinance the Issuer’s existing senior secured notes, with the remainder expected to be used by the Issuers for general corporate purposes and/or to make special or recurring dividends to Cogent.
