Latham Advises Apollo on €218 Million ABB on Lottomatica Group’s Shares

A Milan team assisted in the sale through an accelerated bookbuilding of 20 million ordinary shares.

Latham & Watkins has advised Gamma Intermediate S.à r.l. (a company incorporated on behalf of funds managed by Apollo Management IX, L.P.), in the sale through an accelerated bookbuilding of 20 million ordinary shares of Lottomatica Group S.p.A. at a price of €10.90 per share. The total gross proceeds correspond to approximately €218 million.

The Latham team was led by Milan partner Antonio Coletti, with counsel Guido Bartolomei. Advice was also provided on US matters by London partner Ryan Benedict and capital markets lawyer Irene Pistotnik.

Barclays Bank PLC and Deutsche Bank AG acted as Joint Global Coordinators and Joint Bookrunners. Apollo Capital Solutions, BNP PARIBAS, Goldman Sachs International, J.P. Morgan, Jefferies, Morgan Stanley, and UniCredit acted as joint bookrunners. BTIG and Siebert acted as co-managers.
