Latham & Watkins Advises on Perficient’s US$330 Million Private Convertible Senior Notes Offering

Firm represents initial purchasers in the offering by the global digital consultancy.

Perficient, Inc., a leading global digital consultancy transforming the world’s largest enterprises and biggest brands, has announced the pricing of its private offering of US$330 million aggregate principal amount of 0.125% Convertible Senior Notes due 2026 to be sold to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933. The offering size was increased from the previously announced offering size of US$300 million aggregate principal amount of notes. Perficient has granted the initial purchasers of the Notes an option to purchase up to an additional US$50 million aggregate principal amount of Notes. The offering is expected to close on November 9, 2021, subject to customary closing conditions.
