Latham & Watkins Advises ReNew Power on Business Combination with RMG Acquisition Corporation II and Subsequent Listing on NASDAQ

Cross-border team advises on India business combination and subsequent NASDAQ listing.

ReNew Power, India’s leading renewable energy company, has entered into a definitive business combination agreement with RMG Acquisition Corporation II. Upon closing of the transaction, the combined company will be named ReNew Energy Global PLC and will become a publicly listed company on the NASDAQ under the symbol “RNW”. The transaction has been approved by the ReNew board of directors and the RMG II board of directors. The Pro forma consolidated & fully diluted enterprise should reach a valuation of approximately US$8 billion with the transaction is expected to close in the second quarter of 2021, subject to customary closing conditions, including approval from the Competition Commission of India and the stockholders of RMG II.
