Latham & Watkins Advises Underwriters in Thoma Bravo Advantage’s US$1 Billion IPO
Thoma Bravo Advantage, a newly incorporated blank check company, has closed its initial public offering of 100 million Class A ordinary shares at a price to the public of US$10 per share, inclusive of the underwriters’ over-allotment option, which was exercised in full. The shares are trading on the NYSE in the United States under the ticker symbol “TBA”. The initial public offering closed on January 20, 2021.
Latham & Watkins LLP represented the underwriters in the offering with a corporate team led by New York partners Ian Schuman and Erika Weinberg and Houston partner Ryan Maierson, with New York associates Sami Ghneim, Tomer Stein, and Jonathan Hernandez. Advice was also provided on tax matters by Los Angeles/Century City partner Pardis Zomorodi, with Los Angeles associate Abigail Friedman.
