Latham & Watkins Advises Initial Purchasers in Guitar Center’s Upsized US$350 Million Senior Secured Notes Offering by Guitar Center Escrow Issuer

Multidisciplinary team represented the initial purchasers in the offering by the retailer of musical instruments, lessons, repairs, and rental instruments.

Guitar Center Escrow Issuer II, Inc., the indirect wholly owned subsidiary of Guitar Center, Inc., has closed its offering of US$350 million in aggregate principal amount of 8.5% senior secured notes due 2026 at an issue price of 100%. The aggregate principal amount of Notes to be issued in the offering was increased to US$350 million from the previously announced US$335 million.

Latham and Watkins LLP represented the initial purchasers in the offering with a capital markets team led by New York partners Keith Halverstam and Andrew Baker, with associates Gemma Mootoo Rajah, Biagio Marino, Regan Devers, and Egzon Sulejmani.
