Latham & Watkins Advises the Investors in a Private Placement of Senior Notes to Fund Capital Dynamics’ Acquisition of Three Operating Solar Projects

A multidisciplinary team represents the investors in the financing of the acquisition of solar resources.

Capital Dynamics, an independent global private asset management firm, has announced that its Clean Energy Infrastructure (CEI) business has completed the acquisition of three solar photovoltaic (PV) projects from LS Power. Simultaneously, CEI completed the placement of over US$400 million in long-term, fixed-rate notes with top-tier institutional investors.

Latham & Watkins LLP represented the investors in connection with the transaction. The team was led by New York partner Warren Lilien and San Diego partner Omar Nazif, with New York associates Daniel Chor, Annelise Karreman, and Costanza Garcia. Advice was also provided on regulatory matters by Washington, D.C. partner Tyler Brown; on tax matters by New York partner Eli Katz, with associate Aaron Bernstein; and on environmental matters by Los Angeles counsel Joshua Marnitz.
