The shareholders of Atos approved an exceptional distribution in kind of 23.4% of the share capital of Worldline, offering 2 Worldline shares for 5 Atos shares.
Latham & Watkins advised Atos in the context of the spin-off of 23.4% of the share capital of Worldline for a total consideration of €2.34 billion
The shareholders of Atos, global leader in digital transformation, approved on April 30, 2019 as part of the annual general meeting an exceptional distribution in kind of 23.4% of the share capital of Worldline, offering 2 Worldline shares for 5 Atos shares. This distribution in kind of Worldline shares has been realized on May 7, 2019 for a total amount of 2.344 billion euros.
Following this transaction, Atos holds 27.3% of the share capital and 35% of the voting rights of Worldline.
Atos was advised by an in-house team led by Alexandre Menais (General secretary, Head of M&A and Corporate Development, Legal, Compliance and Contract Management), Damien Catoir (Deputy Group General Counsel) and by Latham & Watkins with a team led by Pierre-Louis Cléro, partner, assisted by Semih Bayar Eren, counsel, François Blanchet and Aymerick Fradin
