Tingfei Fan is a counsel in the Hong Kong office of Latham & Watkins and a member of the Corporate Department.

Ms. Fan represents local and US corporations and financial institutions in connection with a range of corporate transactions, with a focus on capital markets, including:

  • Initial public offerings and listings 
  • Bond offerings 
  • Mergers and acquisitions
  • Regulatory and compliance

Prior to joining Latham, Ms. Fan worked as an associate at multinational law firms in Hong Kong and China, representing clients in debt and equity offerings and various private equity investments in Hong Kong and the US.

Ms. Fan’s recent experience includes advising:

  • The Adani Family in the US$4.5 billion financing and US$6.5 billion acquisition of Ambuja Cements Ltd and ACC Ltd., which marks the largest ever M&A transaction in India’s infrastructure and materials space
  • The underwriters on the offering of US$500 million 2.880% senior notes due 2031, US$900 million 3.680% senior notes due 2041, US$1.75 billion 3.840% senior notes due 2051, and US$1.00 billion 3.940% senior notes due 2061 by Tencent Holdings Limited
  • CNCB (Hong Kong) Capital, China Citic Bank International, Bank of Communications, and Bocom International as underwriters on its offering of US$500 million 1.75% Guaranteed Bonds due 2024 by CNCB (Hong Kong) Investment Limited 
  • eHi Car Services Limited on its offering of US$150 million 7.75% Senior Notes due 2024 
  • SJM Holdings Limited on its offering of US$500 million 4.5% Senior Notes due 2026 and US$500 million 4.85% Senior Notes due 2028 
  • Credit Suisse and CLSA as underwriters on the US$280 million convertible bonds issuance by XD Inc., a China-based game developer and global publisher 
  • Credit Suisse as underwriter on the US$350 million zero coupon convertible bonds issuance by Hope Education Group, a Chinese higher education services provider
  • China National Chemical Corporation Limited on its offering of US$600 million 2% Guaranteed Bonds due 2025; US$1 billion 3% Guaranteed Bonds due 2030; US$200 million 3.7% Guaranteed Bonds due 2050; €500 million 1.125% Guaranteed Bonds due 2024; US$600 million 3.35% Subordinated Guaranteed Perpetual Securities 
  • BofA Securities, J.P. Morgan, Goldman Sachs, Morgan Stanley, Bank of China (Hong Kong), Credit Suisse, Deutsche Bank, HSBC, and Mizuho Securities as underwriters on the offering of US$300 million 1.375% Notes due 2025 and US$500 million 2.000% Notes due 2030 by Tencent Music Entertainment Group 
  • Pearl Holding III Limited, a sponsor-backed manufacturer and distributor of precision plastic injection moulds, in its restructuring of US$175 million senior secured notes due 2022 through a Cayman scheme of arrangement in conjunction with a refinancing of its senior secured revolving credit facility
  • Huachen Energy, a private thermal power generator in China, on its US$ bond restructuring, including advising on restructuring proposals, compliance with bond covenants and interactions with the onshore restructuring undertaken by its PRC parent, Wintime Group 
  • Dr. Peng Holding Hong Kong Limited and Dr. Peng Telecom & Media Group, the largest private telecom operator and internet service provider in China, on a successful restructuring of its US$422 million 5.05% bonds originally due 1 June 2020, by way of a consent solicitation process
  • Admiralty Harbour as the dealer manager on the offer to exchange and consent solicitation with respect to the US$247 million 10.00% Senior Notes due 2023, US$200 million 5.30% Senior Notes due 2022, US$300 million 10.25% Senior Notes due 2022; and consent solicitation with respect to US$357 million 7.50% Senior Notes due 2024, US$300 million 9.25% Senior Notes due 2023, US$296 million 8.25% Senior Notes due 2023, US$280 million 7.875% Senior Notes due 2024, and US$264 million 7.50% Senior Notes due 2025 by Yango Group Co.,Ltd
