Jess McIntosh is an associate in the London office of Latham & Watkins and a member of the firm’s Executive Compensation, Employment & Benefits Practice and Corporate Department.

Ms. McIntosh practices across all areas of employment and incentives law and specialises on large cross-border M&A transactions. She advises clients across a variety of sectors, including private equity, telecommunications, healthcare, mining and resources, sports, and media/entertainment. 

Ms. McIntosh also advises on:

  • Executive remuneration including bonus/incentive plans
  • Workforce restructure and strategy
  • Industrial relations and industrial action
  • Work health and safety matters
  • General HR management and employment issues
  • Outsourcing and business transfers

She is a member of the UK Employment Lawyers Association and Share Plan Lawyers Group. 

Ms. McIntosh’s experience includes advising:

  • Various global clients on Australian and UK employment law issues, including managing employee performance, drafting employment and contractor agreements, settlement agreements, and workplace policies 
  • Various global clients on bonus/incentive arrangements 
  • Various global clients on workforce restructuring, unfair dismissal, and discrimination matters 
  • Yellow Wood Partners on its binding offer to acquire Elida Beauty, a portfolio of brands, from Unilever and the employment aspects of the acquisition, including TUPE
  • Patria Investments Limited on its agreement for the carve-out acquisition of a private equity solutions business
  • Various global clients on contractor misclassification and the IR35 regime 
  • Various global clients on the termination of senior employees, including treatment of equity- and share-based incentives on termination
  • Various clients on initiating and/or defending employment-related claims in relevant courts/tribunals, including restraint-of-trade and breach-of-confidence matters*
