Brian Thompson is a corporate associate in the Washington, D.C. office of Latham & Watkins and a member of the Investment Funds Practice.

Mr. Thompson advises clients in the asset management industry. He represents fund sponsors with respect to the formation, structuring, and ongoing operation of private equity funds, private credit funds, hedge funds, funds of funds, and other alternative structures.

Mr. Thompson counsels clients on a range of complex legal, regulatory, and compliance matters, including in connection with SEC investigations, registration of private equity fund sponsors, and other investment advisers under the Investment Advisers Act of 1940, investment company status issues under the Investment Company Act of 1940, and the acquisition and sale of registered investment advisers.

Mr. Thompson also has experience representing commodity pool operators and commodity trading advisors with their derivatives regulatory compliance requirements under the Commodity Exchange Act, CFTC regulations, and the rules of designated contract markets.

Prior to joining Latham, Mr. Thompson represented clients in the formation, structuring, and governance arrangements of commodity pools, with a particular emphasis on exchange-traded natural gas futures contracts, and other hedge funds trading in equities, cryptocurrencies, and other digital assets. Mr. Thompson also counseled buy-side participants in derivatives transactions, including commodity transactions, foreign exchange transactions, futures, and options.

Mr. Thompson has counseled broker-dealers, market makers and other liquidity providers, and end-users on trading, clearing, and settlement in the derivatives markets, particularly designated contract markets.

Before entering private practice, Mr. Thompson was a research fellow and lecturer at the Institute for Private International Law and Comparative Law at the University of Bonn in Bonn, Germany.
