Ashlie Lawton is an associate in the Washington, D.C. office of Latham & Watkins. She is a member of the Tax Department and the Global Executive Compensation, Employment & Benefits Practice.

Ms. Lawton advises private equity funds and public and private companies across various industries, with particular focus on corporate transactions. Her experience includes:

  • Counseling on the executive compensation and employee benefits aspects of mergers and acquisitions, financings, initial public offerings, spin-offs, and other corporate transactions
  • Structuring, negotiating and implementing employment, severance, and change in control agreements, deferred compensation plans, equity, and other incentive compensation plans and arrangements
  • Advising public and private companies with respect to compliance with applicable tax and securities laws
  • Preparing compensation disclosures for proxy statements and other public filings

Ms. Lawton also has experience advising clients on employee benefits matters, including tax qualified retirement plans such as defined benefit plans, profit sharing plans, 401(k) plans, employee stock ownership plans (ESOPs), and health and welfare plans. She has advised clients on day-to-day issues employers face in administering benefit plans, counseled clients on plan disputes such as participant claims, and represented clients in governmental audits and compliance filings.
