Andrew Westgate is an associate in the New York office of Latham & Watkins. 

Mr. Westgate advises oil and gas, power, industrial, and financial institution clients on a range of environmental matters, including climate change, environmental credits, carbon neutrality, and carbon capture and sequestration (CCS). His experience includes transactional diligence and contract negotiation, permitting, transaction structuring, and environmental issues at legacy sites. Mr. Westgate also advises clients on environmental issues as part of Latham’s greater China practice.

Prior to joining Latham, Mr. Westgate worked as a consultant in Beijing, providing strategic advice to American firms doing business in China. Mr. Westgate also briefly worked at an environmental technology consulting startup in Beijing.

Experience

Mr. Westgate's representative matters include advising:

  • Occidental Petroleum and its Low Carbon Ventures business on a CCS project intended to qualify under the 45Q credit program and California’s Low Carbon Fuel Standard
  • A large industrial company on the development, permitting, and structuring of a large CCS project in California
  • Western States Petroleum Association (WSPA) on regulatory requirements applicable to CCS projects, and on the negotiation of AB 398 and AB 617, that extended the California cap-and-trade program through 2030
  • Advising private equity, hedge funds, and other investor clients on cap-and-trade registration, structuring, and compliance
  • A large number of companies on various enforcement actions by the California Air Resources Board, including with respect to auction participation, carbon emissions reporting, SF6 emissions, carbon offset invalidation, and others
  • A private equity power fund and a leading power generation company on several transactions, including the sale of a coal-fired power plant to a major electric utility in the US
  • A private equity sponsor in negotiation of an environmental buyout of a contaminated facility as part of a successful chapter 11 liquidation
  • Leonard Green & Partners on the US$2.8 billion leveraged buyout of LifeTime Fitness
  • ArcLight Capital Partners in a number of transactions, including the US$2.1 billion acquisition with the Blackstone Energy Group of four power plants from American Electric Power
  • The Environmental Law Institute in the creation and implementation of the China International Business Dialogue on Environmental Governance, a working group promoting engagement between multinational business and environmental policymakers in China
