Robin Struve advises the firm's clients with regard to the application of US tax, ERISA, securities, and other laws to employee benefits plans, arrangements, and executive compensation matters.

Ms. Struve has substantial experience in employee benefits and executive compensation issues in corporate transactions, including plan spin-offs, mergers, terminations, multi-employer plan withdrawals, COBRA, severance, golden parachutes, and the effects of such transactions on stock options and other equity based compensation, as well as fringe and other benefits. This experience includes advising buyers and sellers in mergers and acquisitions and debtors and creditors on employee benefits issues in lending transactions, as well as bankruptcy and reorganizations.

A substantial portion of Ms. Struve's practice includes advising both public and private companies regarding executive compensation matters, legal compliance of benefits plans, including tax qualified retirement plans, welfare plans, non-qualified deferred compensation plans, and equity based compensation plans (including plans for non-corporate entities such as LLCs and partnerships).

Ms. Struve also advises clients regarding fiduciary issues, reporting and disclosure obligations, plan asset and investment issues, prohibited transactions, and the IRS and DOL voluntary compliance programs.

Ms. Struve is the co-author of "Beyond Stock Options-Phantom Stock, Restricted Stock, Stock Appreciation Rights and Other Equity Alternatives" published by the National Center for Employee Ownership and the "Compensating the Internationally Mobile Executive" chapter in International Labor and Employment Laws, published by BNA Bloomberg.

Experience

Ms. Struve's experience includes:

  • ZF Friedrichshafen AG, a global technology group and supplier of mobility systems for cars, commercial vehicles, and industrial technology in its proposed acquisition of WABCO (NYSE:WBC) in a business combination valued at approximately US$7 billion
  • Bass Pro Shop's US$5.5 billion acquisition of Cabela’s, a specialty retailer and direct marketer of hunting, fishing, camping, and related outdoor merchandise
  • US$4 billion merger between Entercom Communications and CBS Radio, to create a nationwide preeminent radio platform
  • Henkel AG & Co's US$5.5 billion acquisition of Darex Packaging Technologies, a supplier of can coatings and closure sealants for the food and beverage packaging industry
  • US$13 billion merger of equals between FMC Technologies and Technip, a France-based designer and developer of offshore oil and gas processing facilities, via the EU cross-border merger regime
  • Acquisition by Sumitomo Electric U.S.A. Holdings, a subsidiary of Sumitomo Electric Industries, of Keystone Powdered Metal, a manufacturer of powdered metal parts
  • Sirona Dental Systems, Inc. in its US$13+ billion merger of equals with DENTSPLY International Inc.
