 Julia Dai focuses on corporate and finance transactions, including capital markets, M&A and strategic investments. She advises on:

  • Capital markets 
  • Foreign direct investment 
  • Mergers and acquisitions 
  • Private equity

Ms. Dai is experienced in various due diligence investigations, business negotiations, contract reviewing, drafting and revising. She also has experience in the areas of restructuring and internal FCPA investigations/training.

Prior to joining Latham & Watkins, Ms. Dai spent a number of years working at other major international law firms and companies.

Ms. Dai’s recent experience primarily includes advising:

  • CICC, Haitong and other underwriters on the HKD1.92 billion H-share initial public offering of Shanghai Dazhong Public Utilities (Group) Co., Ltd. on the Main Board of Hong Kong Stock Exchange
  • Tencent Holdings Limited on the acquisition by a consortium of investors, led by Tencent, of a minority stake in Hike, an India-based provider of an instant P2P messaging application
  • MBK Partners on its acquisition of a 43% equity stake in Apex Logistics International, a full-service international logistics provider
  • Tencent Holdings Limited in acquiring exclusive Internet rights to NBA games and content in China and the right to act as the NBA's exclusive Internet partner in China, responsible for the NBA's China website and online community
  • CITIC Capital Partners on its sale of a controlling stake in King Koil Shanghai Sleep System Co., Ltd to Advent International. King Koil China is a manufacturer and retailer of premium mattresses in China
  • GCL New Energy Inc. on its proposed US$100 million private placement bond offering to Goldman Sachs to support the establishment of a yield company
  • Carlyle Group and BC Partners on the US$3.4 billion acquisition of Hamilton Sundstrand Industrial, a manufacturer of industrial pumps and compressors, from United Technologies Corporation
  • Carlyle Group on the US$4.9 billion acquisition of DuPont Performance Coatings, the performance coating business of E.I. du Pont de Nemours
  • Bright Food Group in its US$516 million term loan facility in connection with the acquisition of Manassen Foods Australia, an importer and distributor of food products 
  • Tessera Technologies, as parent company to Digital Optics Corporation, on US$23 million acquisition of the Vista Point Technologies camera module business of Flextronics as well as post-acquisition business operations in China
  • Tessera Technologies on sale of Digital Optics Corporation’s assets to a China-based digital camera manufacturer
  • Greater Pacific Capital on sale of China pharmacy business to a China-based pharmacy company
  • Mecox Lane Limited, a designer of apparel and accessories, with respect to general corporate representation and securities matters, including its US$148 million US IPO 
  • Tudou Holdings, a leading video-sharing website in China, in its US$174 million US IPO 
  • Renhe Commercial Holdings Company Limited on HKD340 million HK IPO and US$300 million senior notes offering
  • VanceInfo Technologies Inc. on US$74.5 million US IPO and US$68.7 million follow-on offering as well as SEC compliance matters
  • Tongjitang Pharmacy on US$98.7 million US IPO
  • Trina Solar on SEC compliance and corporate governance matters
  • Underwriters on Comtec Solar Systems Group’s HKD591 million HK IPO
