Jason Ewart regularly advises clients on private debt and alternative capital financings as well as traditional capital markets transactions.

Mr. Ewart represents a variety of direct lenders, mezzanine funds, private debt and structured equity providers, and other financial institutions in complex financing transactions, including:

  • Preferred equity and holding company PIK financings
  • Unitranche solutions
  • Private second lien financings
  • Privately placed high yield notes
  • Special situations
  • Equity co-investments

In addition, Mr. Ewart represents both issuers and financial institutions in traditional public and private capital markets transactions, including:

  • Secured and unsecured high yield debt offerings
  • Bridge lending
  • Debt exchange offers and tender offers
  • Restructurings

He draws on extensive knowledge of all levels of the capital structure to negotiate and structure creative financing transactions and investments.
Mr. Ewart is a member of the New York City Bar Association Securities Regulation Committee and he has served on Latham’s Recruiting Committee.
