James Baxter is an English law qualified solicitor in the London office of Latham & Watkins. He specializes in international capital markets transactions.

Mr. Baxter represents investment banks and issuers in connection with (i) public and private debt offerings (including MTN programmes) and listings on major European stock markets; (ii) liability management transactions, including bondholder consent solicitations, exchange offers, and tender offers; and (iii) issuances of convertible and exchangeable bonds, all with a particular focus on emerging markets.

He also advises listed companies on compliance with disclosure, regulatory, and corporate governance requirements.

Prior to joining Latham in 2008, he practiced as a solicitor in a major international law firm in London and Moscow, where he advised on a range of international capital markets transactions.

  • Deutsche Bank, J.P. Morgan, and UBS in connection with a €550 million notes offering by Globalworth Real Estate Investments Limited

  • Azimut Holding S.p.A. in connection with a tender offer and consent solicitation in respect of its outstanding subordinated convertible bonds and in respect of a €350 million notes offering

  • VEON Ltd. in connection with a US$1.5 billion notes offering by VimpelCom Holdings Limited

  • Goldman Sachs, Bank of America Merrill Lynch, Morgan Stanley, and MUFG in connection with a US$2.25 billion notes offering by BMW US Capital LLC

  • Credit Suisse, ING, Rabobank, and Société Générale in connection with a €450 million notes offering by Barry Callebaut Services NV

  • J.P. Morgan in connection with a US$4 billion notes offering by BMW US Capital LLC

  • The Republic of Mozambique in connection with an exchange offer of US$850 million of notes issued by Ematum for US$726 million notes issued by the Republic of Mozambique

  • Citigroup, Barclays, and ING Bank in connection with a US$1.2 billion offering of notes by GTH Finance B.V. and guaranteed by VimpelCom Holdings B.V.

  • Banca IMI, Morgan Stanley, and UniCredit in connection with a US$550 million offering of notes by Hrvatska Elektroprivreda and a tender offer for existing notes

  • Goldman Sachs and ING Bank in connection with a consent solicitation and tender offer by Gunvor Singapore PTE Ltd.

  • Thomas Cook Group plc in connection with a €400 million high yield notes offering

  • VimpelCom Ltd in connection with a US$1.7 billion liability management exercise

  • Citigroup, J.P. Morgan, and Sberbank in connection with a US$80 million liability management exercise by TCS Bank

  • Credit Suisse and Banca IMI in connection with a debut offering of notes listed on the Luxembourg Stock Exchange by Fincantieri

  • Mersin International Port in connection with an offering of notes listed on the Irish Stock Exchange

  • Citycon Oyj in connection with two separate offerings of notes listed on the Irish Stock Exchange
