Christopher Dolan represents sponsors, lenders, construction companies, and other project participants in relation to the development, financing, construction, and operation of projects in the United States and abroad, including projects in the energy and infrastructure space.

Mr. Dolan’s experience includes advising with respect to financing documentation (including syndicated loans, tax equity, capital market, and 144A deals), and also project documentation (including EPC contracts, O&M contracts, and power purchase agreements).

He has advised companies and lenders on all stages of the project finance cycle, from creation of joint ventures to obtaining financing, construction, operation, sale and, if applicable, work-out and bankruptcy. Mr. Dolan has advised on a number of projects in Texas, New York, California, Brazil, Argentina, and Mexico.

Renewables
  • Advised Overseas Private Investment Corporation (“OPIC”) in US$150 million financing of 98 MW wind farm in Ukraine (Zaporizhia) with General Electric and LongWing as sponsors*
  • Advised IFC and OPIC on the funding (in an amount of US$44 million) of a greenfield wind power plant in Pakistan (the Tenaga Generasi Limited Wind Power Project) under a new upfront tariff regime*
  • Advised Urban Green Technologies on 70MW solar plant in Angola, including negotiation of power purchase agreement, concession, sovereign guarantee, and EPC contract*
  • Advised Biotherm, Inc. on 25MW solar plant in Ghana, including structuring of licensing and permitting and EPC contract*
  • Advised 174 Power Global (a subsidiary of Hanwha) on development, debt financing, and tax equity financing of 300MW solar plant in Midway Texas, including negotiation of US$193 million construction loan in club deal and related tax equity financing*
  • Advised a leading American developer in the sale of three wind farms in Texas totaling 430 MW to a private equity firm for the purposes of repowering; in depth analysis of repowering and other matters*
  • Advised lenders in connection with the extension of incremental credit facilities to White Oak Solar Energy for Dover SUN Park, a community-scale 10 MW solar photovoltaic power project in Dover, Delaware*
  • Advised HydroChile S.A. in connection with financings to fund development of the Hidroelectrica San Andres Hydropower Project and the Hidroelectrica El Paso Hydropower Project in Chile*
  • Advised IFC and OPIC on the funding (in an amount of US$44 million) of a greenfield wind power plant in Pakistan (the Tenaga Generasi Limited Wind Power Project) under a new upfront tariff regime*
  • Advised Banco Nacional de Desenvolvimento Econômico e Social (BNDES) in connection with financing for the US$1.6 billion Chaglla hydroelectric power generation project in Peru with an installed capacity of approximately 406 MW*
  • Advised US power company in various joint ventures with local partners for RenovAr and Fast Power projects in Argentina*
  • Advised Raizen Energia S.A., Brazil's largest ethanol company and third largest energy company, and its affiliates, in connection with multiple financings, including their US$450 million inaugural financing, a US$600 million financing and most recently US$735 million financing, each arranged by a syndicate of international commercial banks*
  • Advised Fortistar in connection with financing matters regarding its landfill gas business in the US and Mexico*
  • Advised Ormat Technologies Inc. on the acquisition of Géothermie Bouillante SA, exploiting the first geothermal power plants producting electricity in Guadeloupe*
  • Advised developer of portfolio of solar facilities in Canada in negotiation of multi-site O&M agreements*
  • Advised AES as acquirer of a portfolio of over 800 biofuel and methane carbon credit producing projects located in Brazil and Mexico*
Power

  • Advised Exelon Corporation on bankruptcy of wholly-owned subsidiary, ExGen Texas Power, LLC ("EGTP") and reorganization plan for EGTP's five power plants (totaling 3,313 MWs) encumbered by US$675 million of non-recourse senior secured debt; reorganization plan included orderly sale through auction of the five power plants and acquisition following successful bid by Exelon of one of the plants (Handley Generating Station) for US$60 million*
  • Advised Abatis in connection with the development of a 470MW gas-fired power plant in Pennsylvania*
  • Advised Panama Power in connection with its development of a gas-fired power plant and LNG receiving terminal in Panama Advised Cavallo Energy in connection with its development of a 900 MW gas-fired power plant in North Bergen, New Jersey*
  • Advised buyer (Fortistar) in acquisition of 65 MW combined cycle gas thermal power plant in upstate New York*
  • Advised TAESA, one of Brazil's largest transmission companies, in twin project finance structure provided by Inter American Development Bank for development and operation of multiple transmission lines in Brazil*
  • Advised on negotiation of long-term services agreements with General Electric and Mitsubishi*
  • Advised on development of wholesale power contracts in Mexico for C&I customers from InterGen*
  • Advised A.P. Moller Capital, in connection with their tender offer with co-investor CDC for the acquisition of publicly traded Zambia energy company, Copperbelt Energy Corporation*
Oil and Gas
  • Advised lenders in connection with the US$4.125 billion permanent financing of the Gasoducto Sur Peruano project, a more than 1000-km natural gas and liquids transportation system/pipeline in Peru stretching from the Cusco Region to Mollendo and± 10 terminals*
  • Advised underwriter in a US$270 million secured bond securitization backed by payments from Petrobras for the lease of a drillship operating in Brazil (selected as "Latin America Deal of the Year" by Euromoney)*
  • Advised the mezzanine lender in connection with a US$87 million equity backed mezzanine financing related to the US$692 million 10-year senior debt financing for the construction and operation of Schahin's Black Diamond drill-ship, which was built by Samsung Heavy Industries, and will be chartered by Schahin to Petrobras for the exploration of Brazil's offshore oil and gas reserves*
  • Advised Brazilian lender in connection with the Sete S.A. project for construction of 28 drill ships and platforms for exploration of pre-salt oil and gas*
  • Advised Angola LNG consortium in connection with LNG supply and sale contracts*
  • Advised Excelerate Energy in connection with purchase and sale of LNG cargos into Argentina*
  • Advised IFC in the financing of a floating liquefaction terminal in Colombia being developed by Exmar for Pacific Rubiales*
  • Advised Sao Tome e Principe in the drafting and enactment of oil and gas law and model production sharing contract Advised International Finance Corporation US$20 million in equity investment in gas distribution company (Neogas) in Brazil Advised developer of LNG regas facility and terminal in Montevideo, Uruguay*
  • Advised Carso Oil and Gas S.A. de C.V. on Sasabe-Samalayuca pipeline project in Mexico*
  • Advised ICON LNG on development of modular LNG containers for distribution of natural gas in the Caribbean*
Mining
  • Advised Mubadala Development Company PJSC and Trafigura Beheer B.V. in connection with a pre-export financing related to the MMX Porto Sudeste iron ore port terminal restructuring*
  • Advised lenders in DIP financing in amount of US$500 million for coal company*
Petrochemical
  • Advised US Exim Bank, BNDES, SACE, and five commercial banks, with respect to the monitoring, restructuring, and repayment of loan secured by the Rio Polimeros S.A. petrochemical plant in Brazil*
  • Advised lenders in connection with a complex acquisition financing and related recapitalization for SK Spice in an amount of US$1.2 billion*
Other
  • Advised Banco Internacional del Peru-Interbank in A/B loan provided by Inter-American Development Bank to Colegios Peruanos*
  • Advised The Bank of Nova Scotia, as administrative agent, and Scotiabank Chile, as arranger, in connection with a revolving credit facility for Molymex S.A. de C.V.*
  • Advised Banco Nacional de México, S.A., Integrante del Grupo Financiero Banamex, División Fiduciaria, as administrative agent, in connection with a $5 billion Mexican pesos and a $120 million dual tranche multi-currency, senior unsecured financing for Tenedora de Cines, S.A. de C.V.*
