Brandon Bortner is a partner in the Washington, D.C. office of Latham & Watkins. Mr. Bortner practices corporate and securities law, with an emphasis on capital markets transactions, private financings and public company representation in the life sciences and technology space.

Mr. Bortner advises both public and private companies on a range of matters, including:

  • Initial public offerings (IPOs)
  • Follow-on and secondary offerings
  • PIPEs and strategic investments
  • High-yield debt offerings
  • Convertible securities offerings
  • Going-private transactions

Mr. Bortner also regularly represents investment banks in connection with capital markets transactions and a significant portion of his practice involves general corporate work for ongoing clients on matters such as SEC compliance, securities and disclosure issues, and corporate governance matters. He has extensive experience with alternative financing structures, including Private Investments in Public Equity (PIPEs) and the tax-advantaged Up-C, UPREIT and YieldCo structures.
