Scott Herlihy retired from the partnership on December 31, 2018. He was a partner in the Corporate Department of Latham & Watkins’ Washington, D.C. office. Mr. Herlihy has served as the Global Co-Chair of the firm’s Public Company Representation Practice.

Mr. Herlihy advised corporations on general corporate governance and complex corporate and securities matters, as well as on capital markets transactions and mergers and acquisitions. He regularly advised a variety of NYSE and Nasdaq companies across a broad spectrum of industries, including real estate, hospitality, mortgage finance, healthcare, and industrial manufacturing.

Mr. Herlihy frequently lectures on corporate governance and developments in federal securities regulation. He recently served as a panelist on the topic of shareholder activism for the National Association of Corporate Directors and on the topic of cybersecurity for The Conference Board. Mr. Herlihy has regularly contributed to firm thought leadership, including “Director Tenure: A Solution in Search of a Problem.” He is co-author of “Structuring and Implementing Spin-Offs,” The Corporate Analyst (August 1996). Mr. Herlihy previously served as an adjunct professor at Georgetown University Law Center on the topic of corporate governance.

Mr. Herlihy has been recognized by The Legal 500 US, Chambers Global, and Chambers USA as a national leader in Capital Markets work and has been recognized in the 2011-2014 editions of The International Who’s Who of Capital Markets Lawyers. Chambers USA 2014 cited specifically his “excellent SEC expertise and broad capital markets knowledge.”

Prior to joining Latham, Mr. Herlihy, a certified public accountant, was a litigation consultant and gained extensive experience investigating financial fraud.
