Kelly Teoh is an associate in the Singapore office of Latham & Watkins. She represents issuers and underwriters across Southeast Asia and India in a range of capital markets matters, including US-registered offerings and structured product offerings. She also advises clients on public and private mergers and acquisitions and strategic investments, as well as public companies on corporate governance and public company representation matters.

Ms. Teoh currently serves on the firm’s Recruiting Committee.

Ms. Teoh's pro bono practice includes advising clients on their impact investments across Southeast Asia.

Ms. Teoh's experience includes advising:

  • MakeMyTrip, India’s leading travel group, in:
    • its acquisition of ibibo Group, an India-based company operating an e-commerce and online travel portal;
    • its US$330 million private placement of shares; and
    • its US$230 million offering of senior convertible notes
    • the sale of Class B shares in MakeMyTrip from Naspers to Trip.com
  • VinFast Auto, a Vietnam-based electric vehicle manufacturer, on:
    • its US$1 billion equity line of credit; and
    • its US$50 million issuance of convertible debentures
  • Zapp Electric Vehicles on its business combination with CIIG Capital Partners II, Inc., a special purpose acquisition company
  • Strategic investors on their equity and debt investment in connection with the restructuring supporting agreement of 5E Advanced Materials, Inc, a Nasdaq-listed boron and lithium company with US government Critical Infrastructure designation for its 5E Boron Americas Complex
  • Bayfront Infrastructure Management on its issuances of infrastructure asset-backed securities, including a  transaction with a sustainability tranche which was awarded Structured Finance & Securitization Deal of the Year by IFLR Asia-Pacific Awards 2022, GlobalCapital Asia Awards 2021, The Asset Triple A Awards 2021, and FinanceAsia Achievement Awards 2021
  • Bayfront Infrastructure Management on its US$410.3 million issuance of infrastructure asset-backed securities through Bayfront Infrastructure Capital IV Pte. Ltd. This transaction was awarded “Best Infrastructure Deal,” “Best Project Finance Deal,” and “Best Sustainable Finance Deal of the Year”, both for Asia and the Singapore market at the FinanceAsia Achievement Awards 2023
  • Clifford Capital, as sponsor, manager, and subordinated note investor, on the first infrastructure project finance securitization in Asia, in which the US$458 million issuance included four classes of notes issued by Bayfront Infrastructure Capital and three classes of investment grade rated notes (Class A, B, and C Notes) listed on the SGX-ST and was awarded the Asia-Pacific Bond Deal of the Year and Asian-mena Deal of the Year in 2018, and Structured Finance and Securitisation Deal of the Year in 2019 at the IFLR Asia-Pacific Awards
  • SP Power Assets on various offerings pursuant to its US$8 billion global medium term note program
  • The joint lead managers and the underwriters of the issuance by Astrea V Pte Ltd of a US$600 million bond issuance backed by cash flows from a portfolio of private equity funds
  • The underwriters in HDFC Standard Life Insurance Company Ltd’s US$1.33 billion initial public offering of shares on the NSE and BSE
  • Block in the Series B-1 financing of PT Fliptech Lentera Inspirasi Pertiwi, Indonesia’s leading consumer payments platform
  • PLDT on the sale of a minority stake in Voyager Innovations, a Philippines-based developer of platforms for digital payments, digital finance, and marketing technologies, to KKR and Tencent
  • TPG Capital in the sale of its 50% stake in Myanmar Distillery, a Myanmar-based company involved in manufacturing alcoholic beverages
  • Neptune Orient Lines on its acquisition by CMA CGM by way of a US$2.4 billion pre-conditional voluntary general offer*
