Latham & Watkins Advises Lead Arrangers on the Financing of the Anthem/Cigna Merger

Corporate team advises financiers on major health care transaction valued at $54.2 billion.

Anthem, Inc. (NYSE:ANTM) and Cigna Corporation (NYSE:CI) have announced that they have entered into a definitive agreement whereby Anthem will acquire all outstanding shares of Cigna in a cash and stock transaction and Cigna shareholders will receive $103.40 in cash and 0.5152 Anthem common shares for each Cigna common share. As noted in the company press release, below, the transaction is valued at $54.2 billion on an enterprise basis.

Latham & Watkins LLP represented the lead arrangers in the financing of the Anthem/Cigna Merger with a New York based team led by finance partner Jane Summers and capital markets partners Peter Labonski and Keith Halverstam, with Jesse Sheff (then an associate, now a partner) and associates Jane Hogan, Conray Tseng, Alexandra Fox, Montgomery Gim and Andrew McCain.
