Latham & Watkins Advises on Guitar Center, Inc.’s US$200 Million Senior Secured Notes Tack-On Offering

Firm represented the initial purchasers in the offering by the retailer of musical instruments, lessons, repairs, and rentals in the US.

Guitar Center, Inc., an indirect subsidiary of Guitar Center Holdings, Inc. and a leading retailer of musical instruments, lessons, repairs and rentals in the United States, closed on March 17, 2022 its offering of US$200 million in aggregate principal amount of its 8.5% Senior Secured Notes due 2026.

Latham & Watkins LLP represented the initial purchasers in the offering with a corporate deal team led by New York partners Keith Halverstam and Andrew Baker, with New York associates Gemma Mootoo Rajah, Shawn Quinn, and Egzon Sulejmani. Advice was also provided on credit matters by New York partner Chris Plaut, with New York associate Carlos Ibarguengoitia; on tax matters by New York partner Jiyeon Lee-Lim, with London associate Ted Gkoo; on real estate matters by New York counsel Betsy Mukamal, with New York associate Karen Ritter; and on intellectual property matters by New York counsel Carrie Girgenti.
