Latham & Watkins Assists Atos in Securing CFIUS Clearance

CFIUS concluded that there are no unresolved national security issues with respect to Atos' pending acquisition of Syntel.

Atos SE (EURONEXT:ATO), a global leader in digital transformation, announced on September 10, 2018, that it has received clearance from the Committee on Foreign Investment in the United States (CFIUS) in connection with its proposed acquisition of Syntel (NASDAQ:SYNT). CFIUS concluded that there are no unresolved national security issues with respect to the transaction. Atos announced on July 22, 2018, that the company entered into a definitive merger agreement under which Atos will acquire Syntel for cash consideration of US$3.4 billion.

Latham & Watkins advised Atos on the CFIUS clearance process. The CFIUS team was led by partner Les Carnegie in Washington, D.C., with counsel Jarrett Taubman and associate Bridget Reineking. Latham also advised Atos on antitrust matters with respect to the transaction and obtained antitrust clearance decisions in the United States, Austria, Serbia, and India. Paris partner Jacques-Philippe Gunther led the antitrust team. Atos’ Head of Legal M&A, Anne-Sophie Poirier, and her team provided close support.
