Latham & Watkins Advises on Nexi’s €2.1 Billion Bond Offering

London high yield team represents banks on bond offering for European paytech leader.

May 04, 2021

Latham & Watkins advised the initial purchasers on Nexi’s €2.1 billion bond offering, consisting of €1,050,000,000 Senior Notes due 2026 and €1,050,000,000 Senior Notes due 2029.

The proceeds of the Notes, together with the proceeds of the €1 billion 2028 Convertible Notes, allows Nexi to successfully prefund both the Nets Merger and the SIA Merger, extend the tenor of its debt and achieve a significant reduction in the cost of debt.

The transaction is the latest in a number of deals Latham has advised on in connection to Nexi. Most recently, the firm represented the banks on the bridge financing in connection with the merger of Nexi and Nets.

The Latham team was led by London partners Jennifer Engelhardt and Dan Maze, with associates Yeniva Massaquoi and Kathleen McCullough.
