Latham & Watkins Advises Beckman Coulter in Acquisition by Danaher

Acquisition involves outstanding common stock valued at approximately US$6.8 billion.

Beckman Coulter, Inc., the California-based biomedical testing company, and Washington, D.C.-based Danaher announced a definitive merger agreement under which Danaher will acquire all of Beckman Coulter's outstanding common stock in a transaction valued at approximately $6.8 billion. Latham & Watkins LLP represents Beckman Coulter in the transaction with a Southern California-based corporate team led by partners Paul Tosetti in the firm’s Los Angeles office and partners Cary Hyden and Michael Treska in Orange County, with associates David Wheeler, Jocelyn Chung, Scott Akamine, Andrew Western and Mathew Davis-Ratner. Advice has also been provided by the firm on regulatory, tax, benefits and compensation, intellectual property, finance, and environmental matters.
