Latham & Watkins Advises Farfetch in Upsized US$350 Million Convertible Senior Notes Offering

Cross-border deal team advised the global technology platform for luxury fashion in the offering.

Farfetch has announced the pricing of US$350 million principal amount of 3.75% Convertible Senior Notes due 2027 in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act. Farfetch also granted the initial purchasers of the notes an option to purchase, for settlement within the 13-day period beginning on, and including, the date on which the notes are first issued, up to an additional US$50 million principal amount of notes. The offering is expected to close on April 30, 2020, subject to customary closing conditions.
