Ramin Montazeri is an associate in the New York and Orange County offices of Latham & Watkins LLP. Mr. Montazeri is a member of the Finance Department and the Project Development & Finance Practice.

Mr. Montazeri’s practice focuses primarily on strategic sponsors, commercial banks, financial institutions, private equity clients, and developers in connection with domestic and cross-border construction financings, acquisition financings, and other energy and infrastructure-related secured lending transactions, including transmission assets, gas pipelines, natural gas and coal fired facilities, and renewable energy projects. He also advises clients on construction agreements, operation and maintenance agreements, supply agreements, and other project documents in the oil and gas, power, and infrastructure industries.

Mr. Montazeri is the Vice President of the Iranian American Bar Association, and received the Islamic Finance Qualification from Chartered Institute for Securities & Investment.

Mr. Montazeri’s experience includes:

  • Financing of AES Southland Energy Project: Represented sponsor in connection with US$2.3 billion project financing, including a 4(a)(2) note private placement, construction loan and liquidity facilities, for the development of the AES Southland Energy Project, a portfolio of two gas fired power plants totaling 1244-MW, and two battery energy storage systems totaling 110-MW, in Arizona and California, which earned Project Finance Internationals 2017 North American Power Deal of the Year
  • Financing of Portfolio of Renewable Projects: Represented sponsor in connection with a US$421.4 million 4(a)(2) private placement financing on a portfolio of 39 solar farms and two wind projects of approximately 565 MW of utility-scale solar and wind assets, which earned Project Finance Internationals 2017 North American Renewable Deal of the Year
  • Financing of Fermaca Pipelines (Mexico): Represented the sponsors in connection with the US$600 million and US$435 million financings of the development, construction, operation, and maintenance of a 465 kilometers, 450 kilometers, and a 378 kilometers natural gas pipelines in Mexico   
  • Financing of Panda Power Projects: Represented Panda Power Funds in connection with IJGlobal's 2014 North American Merchant Power Deal of the Year - financing of Stonewall's Power Project; as well as the financing of Patriot, Liberty, Sherman, and Temple projects
  • Refinancing of Linden Power Projects: Represented Morgan Stanley in connection with the US$1.3 billion refinancing of the Linden power project
  • Acquisition financing of Waste-to-Energy Facilities: Represented Energy Capital Partners in the acquisition and acquisition financing in the term loan B market of a portfolio of waste-to-energy facilities
  • Financing of Floating Production System: Represented the borrower in the term loan A construction financing of ArcLight Capital’s Delta House floating production system
  • Refinancing of LNG Carries: Represented the lenders in connection with the refinancing of six liquid natural gas carriers.
  • Financing of portfolio of wind assets: Represented the lenders and noteholders in a bank and private placement financing of a portfolio of wind projects owned by Duke Energy   
  • Negotiation of Project Contracts: Represented the owner in connection with a marketing and sales agreement, ethane/NGL purchase and sale agreement, terminaling agreement, and transportation and services agreement
