Philip Matthews Dear

Philip Dear is an associate in the Los Angeles office of Latham & Watkins. Mr. Dear is a member of the Corporate Department and his practice focuses on capital markets, securities, and corporate matters.

Mr. Dear represents both financial institutions and issuers in a wide variety of public and private financing transactions, including initial public offerings; follow-on and public equity offerings; investment grade, high-yield, and convertible debt offerings; debt exchange offers; tender offers; and acquisition financing.

Mr. Dear also represents companies with respect to general corporate and securities matters, including corporate governance issues, Exchange Act reporting obligations, and stock exchange rules and requirements.
