Matthew L. Strand is an associate in the New York office of Latham & Watkins and a member of the Litigation & Trial Department.

Matthew advises public and private companies and their officers and directors in connection with high-profile merger and takeover litigations, securities class actions, proxy contests, derivative lawsuits, and complex governmental and regulatory investigations.  

Prior to joining Latham, Matthew was an associate at an international law firm and clerked for Chancellor Andre G. Bouchard and Vice Chancellor Lori W. Will of the Delaware Court of Chancery.

Matthew’s experience includes representing: 

  • Novo Nordisk in an action by Pfizer, Inc. before the Delaware Court of Chancery, seeking a temporary restraining order to prevent Metsera, Inc. from negotiating with Novo Nordisk on its proposal to acquire Metsera; after expedited briefing, the Court denied Pfizer’s motion in its entirety, allowing Metsera to engage with Novo Nordisk’s proposal (Pfizer, Inc. v. Metsera, Inc. et al., No. 2025-1259-MTZ (Del. Ch.))
  • Eldridge SMT Holdings LLC and Vicente Capital Long Term Appreciation Fund LP in an expedited proceeding before the Delaware Court of Chancery challenging the appointment of a director as contrary to a stockholders agreement; after a two-day trial, the Court ruled in favor of Eldridge and Vicente on all claims (Eldridge SMT Holdings LLC et al. v. Hall et al., No. 2025-0608-PAF (Del. Ch.))
  • Squarespace in appraisal and breach of fiduciary duty litigations arising from the take-private of the website building and hosting platform in $7.2 billion deal
  • Former officers and directors of World Wrestling Entertainment (WWE) in a lawsuit brought by shareholders arising out of the $21 billion merger of UFC and WWE
  • A global automobile manufacturer in stockholder derivative litigation in the Delaware Court of Chancery challenging CEO’s compensation package*   
  • A cryptocurrency exchange in bankruptcy proceedings and Department of Justice (DOJ), Securities and Exchange Commission (SEC), and Commodity Futures Trading Commission (CFTC) investigations*
  • The CEO of a real estate company in a stockholder derivative lawsuit in the Delaware Court of Chancery alleging breaches of fiduciary duty in connection with an acquisition*
  • Various entities and individuals in a class action lawsuit in the Delaware Court of Chancery challenging a de-SPAC transaction*
  • A multinational private equity firm in stockholder litigation in the Delaware Court of Chancery challenging a go-private transaction*
