Lily Phan is an associate in the New York office of Latham & Watkins.

Ms. Phan advises large financial investors and corporates on domestic and cross­-border M&A transactions, including:

  • Acquisitions
  • Disposals
  • Minority investments
  • Joint ventures
  • Corporate reorganizations

Ms. Phan also has experience advising companies and investment banks in capital markets and general securities matters.

Ms. Phan’s work encompasses a number of industries including, among others, financial services (private equity and insurance), retail and consumer products, technology and fintech, and industrials.

In the financial services sector, Ms. Phan regularly works with large P&C and life and health insurers and reinsurers on all corporate and transactional insurance-related matters.

Ms. Phan’s experience includes advising:

  • Sedgwick, a Carlyle portfolio company, on its acquisition of JND Legal Administration, a US-based legal management and administration services provider*
  • Unified Commerce Group, a retail platform company, on multiple proposed acquisitions in the retail space and providing ongoing corporate advice*

  • Armour Group on the disposal of Armour Risk Management*
  • Fidelity National Information Services, a Fortune 500 fintech company, on multiple transactions, including its:
    • Acquisition of Payrix*
    • Global transfer agency agreement with Franklin Templeton*
  • Apollo Global Management on corporate and insurance related work*
  • Schroders on its investment in a US-based insurance company*
  • Somers Group, backed by Arch Capital, Warburg Pincus, and Kelso & Company, on its issuance of 6.500% subordinated notes due 2032*
  • Fidelis, backed by Crestview, CVC, and Pine Brook, on its strategic investment in a US-based cyber security company*
  • Premia, a Bermuda-based reinsurer sponsored by Kelso & Company and Arch Capital, on ongoing corporate and insurance related advice*
  • Harrington Re, a Bermuda-based reinsurer sponsored by AXIS Capital and Blackstone, on ongoing corporate and insurance related advice*
  • Bayview Asset Management and Oceanview Re Ltd. on corporate and insurance related work*
  • Large insurers on a broad range of insurance matters including coverage and policy advice, work on regulatory investigations and commissions, and defending class actions (including acting for an insurer on the then largest class action proceeding in Australia)*
