John Fluharty represents private equity sponsors, public and private companies, and investment banks in capital markets transactions, particularly high yield bond and acquisition financings.

Before joining Latham, Mr. Fluharty was at leading firm in London working on international capital markets transactions. Before practicing law, Mr. Fluharty worked on several international development projects in Afghanistan, Tanzania, Nepal, and other nations. Mr. Fluharty also advised on a major presidential campaign in the general election as well as senatorial campaigns. 

Mr. Fluharty’s experience includes advising:

  • The Carlyle Group on a US$1.01 billion high yield bond offering to fund its acquisition of Mumbai, India-based Hexaware Technologies, a leading global IT consulting and digital solutions provider; the deal was recognized as High Yield Bond of the Year at IFR Asia’s 2021 Awards
  • The underwriters in Surgery Partners’ US$227 million and US$321 million follow-on common stock offerings 
  • Paper Excellence BV in its financing for the US$2.8 billion acquisition of Domtar Corporation, a provider of fiber-based products
  • The issuer in Nesco Holdings II’s US$920 million Senior Secured Second Lien Notes to fund its acquisition of Custom Truck One Source, a single-source provider of specialized truck and heavy equipment solutions 
  • The initial purchasers in ams AG’s €1 billion high yield offering and €200 million tap to fund ams AG’s acquisition of OSRAM, a photonic company specializing in sensor technology, visualization and treatment by light*
  • The initial purchasers in Altice France and YPSO Finance Bis’ US$1.225 billion and €1.6 billion senior notes offerings*
  • The initial purchasers in Altice Luxembourg’s €2.8 billion senior notes offering*
