    Profile

    Adam Ray is an associate in the London office of Latham & Watkins. He practices across all areas of employment and incentives law.

    Mr. Ray advises clients across a range of sectors including financial services, private equity, mining and resources, manufacturing, infrastructure, and construction in connection with:

    • HR aspects of outsourcing and business transfers, including TUPE
    • Workforce strategy and restructure
    • Industrial relations, collective bargaining, and industrial action
    • Employment and incentives aspects of M&A transactions
    • Information and consultation requirements
    • General HR and employment advisory

    Mr. Ray has completed a secondment with the in-house legal team of a leading global insurance brokerage and professional services firm, where he supported the organization through a major post-acquisition integration process, and worked on a range of commercial contracts and outsourcings.

     

    Experience

    Mr Ray’s experience includes advising:

    • NVIDIA on its US$40 billion acquisition of Arm Limited, the Cambridge-headquartered semiconductor and software design company, from SoftBank
    • OMERS, one of Canada’s largest defined benefit pension plans, on Northvolt’s US$2.75 Billion Funding Round 
    • A FTSE 100 manufacturer on its global facilities management outsourcing including negotiation of the HR aspects of a framework agreement covering 100+ jurisdictions*
    • A British government department on the employment aspects of a major overhaul of its IT outsourcing, including representation during its competitive tender process*
    • A US-headquartered global asset management and benefits consultant on its various contracts to provide outsourced support to pension funds*
    • A UK infrastructure provider on the TUPE aspects of a multi-decade full service operations and maintenance contract with a major UK city council regarding a public highway network, including interim and subcontracting arrangements*
    • A variety of financial institutions and other clients on employment and HR aspects of transitional services arrangements
