Posit Laohaphan is a partner in the Hong Kong office of Latham & Watkins. Mr. Laohaphan is the former Global Co-Chair of the firm's Financial Institutions Industry Group and is a member of the Corporate Department and Capital Markets and Derivatives Practices.

Mr. Laohaphan focuses on a range of capital markets and equity derivatives transactions, including:

  • Offerings of debt, equity, equity-linked, credit-linked, and hybrid securities such as convertible and exchangeable securities (both optional and mandatory), high yield bonds, and perpetual and regulatory capital securities 
  • Margin loan and share financings
  • Equity derivatives, including call spreads, swaps, forwards, and options issuer or affiliate share borrow facilities, issuer share repurchase transactions, fixed and variable share forward sales, hedging and monetization transactions, and various structured financial products offered publicly and privately

Mr. Laohaphan has represented all of the leading financial institutions in the market, including Bank of America, BNP Paribas, CICC, Citic CLSA, Citigroup, Credit Suisse, Deutsche Bank, Goldman Sachs, Haitong, HSBC, JPMorgan, Morgan Stanley, and Standard Chartered, as well as large funds, corporates, family offices, and high-net worth individuals in the United States, Europe, and Asia, on a variety of complex structured equities capital markets and derivatives transactions. He has also practiced in structured finance, banking, and mergers and acquisitions.

In addition, Mr Laohaphan heads Latham’s Thailand practice out of the firms Hong Kong office. Recognized as a market-leader among international law firms, Mr. Laohaphan and the team provide innovative and practical solutions supported by an acute understanding of the geopolitical and cultural intricacies involved in deals for Thai clients and international clients in Thailand. He advises some of the largest and most active companies in Thailand on some of the most significant transactions in the market.

Mr. Laohaphan was named by the Financial Times as among the region’s top 10 legal innovators in Asia in 2019 and has been awarded Capital Markets Lawyer of the Year by The Client Choice Award and The Asian Lawyer Emerging Markets Awards in recent years. He has also previously been recognized by Asia Legal Business in its 40 under 40 list of the brightest young legal minds in Asia. He is also ranked for his excellence in structured finance and securitization as well as capital markets by The Legal 500 Asia-Pacific, with one client identifying that he has “excellent product knowledge” and is “highly responsive.” Noted as an Outstanding Young Partner for the Asia region, Mr. Laohaphan is commended in Chambers Asia-Pacific for being “really client focused, [he] understands the products we’re trying to offer and his US-Asia experience sets him apart.”
