Ross Pooley is a partner in the London office of Latham & Watkins and a member of the Banking Practice. Mr. Pooley has represented a wide range of corporates, financial institutions, and private equity investors in senior and subordinated leveraged finance and cross-border acquisitions, restructurings, asset-based financings, and margin lending with clients including:

Experience

Mr. Pooley's representative transactions include advising:

  • Thomas Cook Group PLC on the refinancing of its existing debt with a multi-currency revolving credit facility and bonding facilities
  • A consortium of 24 banks in connection with the financing of the voluntary tender offer launched by the Italian toll-road company Atlantia to acquire 100% of the share capital of the Spanish toll-road company Abertis, for a total consideration of €16.3 billion 
  • The lenders in connection with the approximately £300 million senior secured term and revolving loan financing to the Study Group
  • Canada Pension Plan Investment Board on the amendment and restatement to a PIK term loan facility in connection with the acquisition of LeasePlan Corporation by a consortium led by TDR Capital
  • The mandated lead arrangers in relation to €305 million senior facilities provided in connection with the acquisition by Galileo Group of the Studialis Group
  • The mandated lead arrangers in relation to approximately €300 million senior and incremental facilities in connection with the acquisition by PAI of AS Adventure and Snow & Rock
  • Canada Pension Plan Investment Board in connection with US$450 million margin loan facility and related custody arrangements
  • The mandated lead arrangers and underwriters in relation to the £350 million senior facilities for the acquisition of The Ambassador Theatre Group by Providence Equity Partners 
  • The company in relation to the €100 million revolving credit facility for InterXion Holding N.V., a provider of carrier-neutral colocation data centre services in Europe
  • The mandated lead arrangers and underwriters in relation to €525 million senior facilities for the acquisition by Providence Equity Partners and recapitalisation of HSE 24 Group, a German television shopping network 
  • Goldman Sachs International and J.P. Morgan Securities LLC as joint lead arrangers in relation to the US$1.55 billion senior facilities for the Expro Group 
  • Goldman Sachs International and J.P. Morgan Securities LLC as joint lead arrangers in relation to the US$625 million senior facilities for the KCA Deutag Group
  • J.P. Morgan and National Bank of Egypt as lead arrangers of a US$2 billion pre-export finance credit facility relating to the forward sale of oil by EGPC to PEL IV Limited
  • A global investment firm and AlpInvest Partners as mezzanine lenders in connection with KKR’s £955 million acquisition of Pets at Home, the UK’s leading retailer of pet food and pet-related services and accessories
