Jeffrey ("Jeff") S. Muñoz, a partner in the Houston office, represents oil and gas companies, private equity, hedge funds, and other financial institutions in mergers and acquisitions, financings, project development, and other transactions related to the energy industry. Mr. Muñoz's domestic and international experience includes:

  • Joint ventures and other strategic combinations in connection with the development of oil and gas assets primarily in domestic shale areas
  • Acquisitions and divestitures of oil and gas assets, midstream assets, and oilfield service businesses
  • Financing transactions including volumetric production payments, net profits interests, and royalty trusts

Mr. Muñoz has been recognized in The Best Lawyers in America for Corporate Law, Energy Law and Natural Resources Law (2008–2021) (Best Lawyers is by BL Rankings), as well as in Chambers USA as one of America’s Leading Lawyers for Business in oil and gas (transactional) 2012–2020.   • A subsidiary of Freeport-McMoRan Copper & Gold, Inc. in its pending US$1.4 billion acquisition of deepwater Gulf of Mexico assets from a subsidiary of Apache Corporation

  • Devon Energy Corporation in its US$7 billion divestiture of deepwater Gulf of Mexico, Brazil and Azerbaijan assets to BP Exploration & Production*

  • Global Infrastructure Partners in connection with its US$2.16 billion acquisition by Access Midstream of Chesapeake Midstream Operating, LLC
  • Plains Exploration & Production Company (PXP) in its US$5.5 billion acquisition of certain deepwater Gulf of Mexico oil and gas properties from BP Exploration & Production Inc. and BP America Production Company
  • Access Midstream Partners, L.P. in its US$160 million acquisition of compression units and related assets from MidCon Compression, L.L.C.
  • A coal and natural gas producer in its US$3.4 billion joint venture with Noble Energy, Inc. for the development of a 663,000 Marcellus Shale acres in Pennsylvania and West Virginia*
  • A coal and natural gas producer in its US$593 million joint venture with Hess Corporation for exploration and development of a 200,000 Utica Shale acres in Ohio*
  • An upstream oil and gas company in its US$710 million acquisition and development agreement concerning a 12.5% working interest in its non-operated Eagle Ford shale position*
  • Hedge funds and other financing institutions in numerous complex structured mezzanine finance transactions with oil and gas producers and oil and gas service companies*
  • A major oil and gas company in the acquisition of an interest in a joint venture with significant refining and marketing assets with a total acquisition value in excess of US$3.0 billion*
  • A Houston-based private equity firm in its acquisition and related financing of numerous oilfield service companies*
  • Several large Houston-based energy companies in various forms of oil and gas financings, including loans, purchases of volumetric production payments, net profits interests, and equity participations*
  • A large refining, marketing, and petrochemical company in the sale of its exploration and development subsidiary, including transportation and marketing assets; total transaction value in excess of US$550 million*
  • A major oil and gas company in the sale of several segments of its chemical business with assets and marketing operations located throughout the world; total transaction value of the divestitures in excess of US$1.6 billion*
